Seller file. On-site club audit and meeting with the owner; financial analysis of the last three years, the lease and memberships; valuation of the shares and the business; catchment-area and competition study; SWOT analysis; anonymised information memorandum delivered to the seller within 30 days. The file is handed to the seller, who may use it freely. Advisory contract separate from the transaction mandate: the flat fee is payable whatever the outcome of the sale; signing it is not a condition of the mandate.
Valuation opinion. Desk-based review, without a site visit, of the last three years of accounts, the lease and the memberships; video meeting with the owner; reasoned value range for the business and the company shares. Payable on order. Valid until the end of the current financial year. Indicative document, not binding on third parties. Stand-alone service, separate from the mandate and not deductible from the seller file.

Each rate applies to the full price. The minimum fee applies when the rate gives a lower amount: for a club sold for €50,000, the fee is €10,000 excl. VAT, not €5,000. A single transaction gives rise to a single transaction fee: search and sale fees are never combined. Transaction fees are only due once the transaction is actually completed and recorded in a written deed, in accordance with article 6 of French law no. 70-9 of 2 January 1970. The party paying them is stated in the mandate and in each listing.

Real-estate and business transaction licence no. CPI 9201 2021 000 000 234, issued by CCI Paris Île-de-France. No client funds held. Professional liability insurance AXA France IARD, policy no. RD00060749W.
