Brands, networks and investors
A targeted search, beyond listings.
Identifying independent clubs to convert, approaching operators discreetly, off-market assets and verified sector metrics: share your criteria (areas, formats, size) and we come back to you with qualified targets.
Describe your project (area, budget, type of asset) in the “Receive opportunities” form: matching new mandates are sent to you first, in anonymous form. Detailed information is shared once a confidentiality agreement is signed.
How much equity should I plan for?
Equity is usually around 30% of the project. We scope it with you from the first meeting, together with the target area, revenue, floor area and number of members.
You run the club and own the premises: what can you sell?
The business or the shares of the operating company, the commercial premises, or both. We value and negotiate both sides: the operation on one hand, the property on the other, and the lease that links them. The property side is led by Edouard de La Houssaye, President and Partner of a real-estate agency.
Selling both together appeals to buyers who want to secure the location; selling separately lets you keep the premises and a rental income. In that case, a sound commercial lease, with a rent in line with the market, is the first condition for selling the club well: we restate the rent in the valuation, as the buyer’s bank will.
Who pays the fees on an acquisition?
For the sale of a business (fonds de commerce) or of company shares, transaction fees are paid by the buyer, on the basis and at the rates set out in our fee schedule, and are only due when the deed is signed. For a search mandate, they are paid by the client under the same schedule; search and sale fees are never combined.
Who drafts the acquisition deed?
The deed is drafted by the professional of your choice, at your expense. We coordinate with the advisers through to signing.
How is confidentiality protected?
Listings are anonymised: location by region, floor area and trading figures by range. Identifying information is only shared once a confidentiality agreement (NDA) is signed and the buyer’s financial capacity has been verified.
